Please read these terms carefully before using Cendien Corporation's services or website. By accessing our services, you agree to be bound by these terms.

By accessing or using Cendien Corporation's services, website, or any related platforms, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services.
These terms constitute a legally binding agreement between you ("Client," "Candidate," or "User") and Cendien Corporation, a Texas corporation headquartered in Carrollton, TX. These terms apply to all visitors, users, and others who access or use our services.
2. Services Description
Cendien Corporation provides a comprehensive suite of IT consulting, staffing, and technology solutions to clients across Texas and nationwide, including:

3. User Responsibilities
When using our services and website, all users agree to:
- Provide accurate, current, and complete information in all interactions
- Maintain the security of any account credentials issued
- Notify us immediately of any unauthorized use of your account
- Comply with all applicable local, state, and federal laws and regulations
- Not use our services for any unlawful or prohibited purpose
- Not attempt to access, probe, or test the security of our systems
- Not interfere with or disrupt the integrity or performance of our services
- Not impersonate any person or entity or misrepresent your affiliation
4. Client Obligations
Clients engaging our staffing or consulting services agree to:
- Provide accurate, detailed job descriptions and project requirements
- Conduct candidate interviews and make hiring decisions in a timely manner
- Comply with all applicable employment laws, including EEOC regulations
- Pay agreed-upon fees according to the terms of individual service agreements
- Not directly hire, solicit, or engage Cendien consultants without payment of applicable conversion or placement fees as defined in the governing service agreement
- Provide a safe, lawful, and appropriate work environment for all placed consultants
- Promptly communicate any performance concerns or assignment changes
5. Candidate Obligations
Candidates using our placement or staffing services agree to:
- Provide truthful, accurate, and complete information in resumes and applications
- Disclose any conflicts of interest, non-compete agreements, or competing obligations
- Maintain professional conduct throughout the interview and assignment process
- Honor all commitments made to clients through Cendien
- Notify Cendien promptly of any issues, concerns, or changes during an assignment
- Maintain all required licenses, certifications, and qualifications
6. Fees & Payment

Late Payments: Invoices not paid within agreed terms may be subject to a late fee of 1.5% per month (18% annually) on the outstanding balance, plus reasonable collection costs.
7. Intellectual Property
All content on our website — including text, graphics, logos, images, and software — is the property of Cendien Corporation and is protected by U.S. copyright and trademark laws. You may not reproduce, distribute, or create derivative works without our express written permission.
Work products, deliverables, and intellectual property created during consulting engagements are subject to the intellectual property terms outlined in individual Statements of Work (SOW) or Master Service Agreements (MSA). Unless explicitly agreed in writing, Cendien retains ownership of methodologies, frameworks, and tools used in engagements.
8. Confidentiality
Both parties agree to maintain strict confidentiality of all proprietary and non-public information shared during the course of the business relationship. Confidential information includes:
Confidentiality obligations survive the termination of services for a period of three (3) years, unless otherwise specified in a signed NDA.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CENDIEN CORPORATION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OUR SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.
In no event shall Cendien's total cumulative liability exceed the total fees paid by you for the specific service giving rise to the claim during the twelve (12) months preceding the claim.
10. Warranties & Disclaimers
While Cendien strives to deliver high-quality services, we make no warranties regarding the suitability of candidates for specific roles or the guaranteed outcome of consulting engagements. Our services are provided on an "as available" basis.
CENDIEN EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that our website will be uninterrupted, error-free, or free of harmful components.
11. Termination
Either party may terminate individual services according to the notice periods and terms specified in the applicable service agreement (typically 30 days written notice). Cendien reserves the right to immediately suspend or terminate access to our services for:
- Violation of these Terms of Service
- Non-payment of outstanding invoices
- Fraudulent, abusive, or harmful behavior
- Any illegal activity related to our services
Upon termination, all outstanding fees become immediately due and payable. Provisions that by their nature should survive termination (confidentiality, IP, limitation of liability) will remain in effect.
12. Dispute Resolution
Good-Faith Negotiation
Parties first attempt to resolve disputes through direct discussion within 30 days of written notice.
Mediation
If negotiation fails, parties agree to non-binding mediation in Dallas County, Texas, before proceeding to arbitration.
Binding Arbitration
Unresolved disputes shall be settled through binding arbitration under the AAA Commercial Arbitration Rules in Dallas, Texas.
13. Governing Law
State of Texas, Dallas County
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the state and federal courts located in Dallas County, Texas for any disputes not subject to arbitration.
14. Changes to Terms
Cendien reserves the right to modify these Terms of Service at any time to reflect changes in our services, business practices, or applicable law. We will notify users of material changes via email or a prominent notice on our website at least 14 days before changes take effect. Your continued use of our services after the effective date of changes constitutes acceptance of the modified terms.
